Hermann Area District Hospital

April 26, 2010

John Bartel was installed for a six-year term as the board member from the
Montgomery/Warren County area of the hospital district.  Mr. Bartel was
unopposed for the April 6th election, so no election was required by
hospital district law.  The Board of Directors voted to elect Randy
Eikermann as President, Gordon Gerber as Vice-President, and Betty Bruns as
Treasurer.

The financial and statistical reports were presented by Denise Witthaus,
Assistant Administrator-Finance. Surgical cases continue an upward trend
seen largely in the outpatient area.  Emergency department visits are
showing some growth over last year.  Radiology department is experiencing
moderate increases in the areas of ultrasound and Dexa scanning.  Gross
revenues increased 9.7% for the first quarter of 2010, primarily in the
outpatient service areas.  The business offices of the hospital and rural
health clinics are working diligently to improve the recovery of bad debts.
Year to date March, 2010, $341,000  in bad debts have been written off with
a recovery of just $24,000.  Employee health insurance costs continue to
rise over previous years.  The hospital has implemented the W.O.W. program
(Workplace of Wellness) to encourage healthy lifestyles.  This program is
educating over 100 employee participants on exercise programs, healthy
eating choices, and personalized wellness goals.  The hospital's bond
covenants are in compliance for the end of the first quarter with 68 days
cash on hand and a debt covenant ratio of +1.73.  The rural health clinics
produced gross revenue increases for the first quarter of 22%.  Medical
visits at the rural health clinics grew by 14% and mental health visits more
than doubled at 110%.  Home Health visits for just the month of March
resulted in 43% of the total for the first quarter.  Largest gains were seen
in home health aide and skilled nursing visits.

Amanda Schieber, PA-C announced her resignation from the staff of Southwest
Medical Associates.  The Board of Directors, Drs. Donald Swayze and Michael
Rothermich, and members of Administration discussed how to fill the position
which Amanda will be leaving void at Southwest Medical Associates.   The
board says now is the time to contemplate consolidating the two clinics in
Hermann since they are both operated by the hospital.

Paula Pierce gave the board a recap of the 8th Annual Auxiliary Fashion
Show.  Attendance was down given all that was happening in Hermann that
weekend.  The Auxiliary will be holding their 12th Annual Golf Tournament on
June 7th at Loutre Shore County Club and are hoping for a well attended
event.  On June 27th the Board of Directors is also hosting a black tie
event at the Stone Hill Winery Pavilion.  Both of the upcoming events will
help fund the renovation of the Rehabilitation Therapy Department in the
lower level of the hospital.  The board is hoping to raise over $200,000 in
these events towards the renovation project.

The Board of Directors approved three physicians to the Consulting Medical
Staff upon recommendation from the Medical Staff.  Alvin Schergen, MD and
Stephanie Becker-Koepke, MD are Oncology/Hematology physicians who will be
seeing patients in our outpatient clinic.  Additionally the Board approved
the application of Nadeem Ahmed, MD, Pulmonologist, for privileges to see
patients in our outpatient area as well as interpreting sleep studies
performed at the hospital and other respiratory tests  such as pulmonary
function studies.  Dr. Ahmed will also be assisting the hospital to
establish a Pulmonary Rehabilitation program.

In other business the board approved several contract revisions.  Anthem
Blue Cross requested some revisions in our long-standing contract and
promised some rate increases if we did some quality reporting to them on a
quarterly basis.  A clinic rental agreement was entered into with Dr.
Michael Ryan to hold a Vein Care clinic in the hospital's outpatient clinic
area.  The board approved an agreement with Linn State Technical College to
allow their physical therapy assistant students to perform clinical
rotations at our hospital while their students were pursuing their
education.  Two of the hospital's physical therapists resigned to work
closer to their homes.  In order to not allow these changes to affect our
patient services, the hospital is working with temporary staffing agencies
to keep our patient access open.

There being no further business, the meeting adjourned.
